By submitting your proposal, you acknowledge and agree that you have read and agree to be bound by the Terms herein.
Should you disagree with anything stated herein, please discontinue your use of the Site.

1. The Innov8 Connect Programme
1.1 We aim to provide a hub for start-ups to conduct pilot programmes for their solutions with a view to potential go-to-market collaboration with Singtel. The Site is provided by Innov8 for use by any third party wishing to connect with Innov8 through the Programme.
1.2 As part of the Programme, Innov8 will prepare a number of project briefs outlining particular business needs and challenges faced by Innov8 and its related corporations (“Project Brief”). Eligible Applicants are invited to submit applications between 13 September 2016 and 30 November 2016 (“Entry Period”) outlining innovative solutions to solve the needs and challenges outlined in the Project Brief (“Solution”). An applicant may be invited to pitch their Solution to Innov8 representatives, to develop their Solution to a proof of concept stage to demonstrate the feasibility of the proposed Solution to solve the needs and challenges outlined in the relevant Project Brief (“Proof of Concept Stage”), and further develop the Solution to realisation.
1.3 Entry to the Programme is worldwide and open to companies or entities with two or more employees and with a registered business number in their jurisdiction. Individuals are not eligible to participate in the Programme. An applicant may make an unlimited number of applications to Programme. Employees of Innov8 (including for the avoidance of doubt the Singtel group), or their respective agents, distributors, vendors, partners, or anyone else professionally connected with the Programme, as well as members of their households or their immediate families, are not eligible to participate in the Programme.
1.4 Applicants must be at least 18 years old to take part in the Programme.
1.5 Innov8 reserves the right, at any time, to cancel, modify or suspend the Programme at its sole discretion and for any reason.
2. The Application Process
2.1 On the “Our Projects” page of our Site, we publish information about Project Briefs launched in relation to the Programme. The “Our Projects” page is where you can respond to the challenges faced and get involved in creating solutions.
2.2 If you wish to participate in the Programme, you must complete the Programme application form for the applicable Project Brief. If you are submitting the application form on behalf of a company (or other entity), you represent and warrant that you are an employee or authorised representative of such company (or other entity) and you have the authority to submit such application form on behalf of the company (or other entity) and bind that company.
2.3 All correspondence and communication throughout the Programme, including submission for the Project Briefs listed on the Site, must be in the English language.
2.4 You agree to provide accurate, current and complete information, as required in the registration form (“Registration Data”). All work and submissions should be original. Incomplete or indecipherable entries will be deemed invalid and will be disqualified.
2.5 Your application must not contain any content that:
- contains any advertising and promotional message;
- violates or infringes any applicable laws, regulatory requirements or codes, including in Singapore;
- infringes or violates any copyright, trade mark or other intellectual property, personal or proprietary rights of any person, or violates any obligation of confidence or any other proprietary right;
- contains any obscene, offensive, discriminatory, defamatory or otherwise actionable material; or
- contains a virus, spyware or other harmful component, or otherwise impairs, interrupts or damages the Site, or any connected network, or otherwise interferes with a person’s use or enjoyment of the same.
2.6 Any Programme applicant who has undertaken any conduct which may, in Innov8’s sole discretion, adversely affect the reputation of Innov8 or other participants, may be disqualified from the Programme. Innov8 reserves the right to disqualify any submission in the event of non-compliance with these Terms.
2.7 Innov8 will determine in their sole discretion a shortlist of applicants which, in their opinion, best meet Innov8’s business needs and requirements based on the relevant Project Brief and the applicant’s Solution. The decision shall be final and no requests for reconsideration or revision of the decision will be accepted by Innov8. Innov8 reserves the right to replace any shortlisted applicants subsequently found to be disqualified for any reason.
2.8 Applicants who have received unofficial or content-sensitive information relating to the Programme with the intent of allowing an unfair competitive advantage, from employees, interns, apprentices and trainees or any party involved with the Programme must immediately inform Innov8 as soon as they become aware of this. Innov8 may take such further steps as it deems necessary in the circumstances, which may include disqualifying the applicant from the Programme.
2.9 Selected applicants are required to inform Innov8 before raising funds from any external party at any time during the Programme. Innov8 reserves the right to take such further action as it deems necessary in relation to that applicants’ further participation in the Programme.
3. The Pitch Process
3.1 Shortlisted applicants for each Project Brief will be invited to present where they will have the opportunity to deliver their value proposition for the submitted solution. If an applicant’s pitch is successful, the applicant will be invited to collaborate with the relevant Innov8 partner or business unit(s) to co-create the solution.
3.2 The pitch may be conducted via video-link. Applicants who choose to travel to present their pitch are responsible for securing their own visas and other travel expenses, at their own cost.
3.3 These Terms govern any applications received to the Programme, and your participation during all stages of the Programme up until but not including such time as the Solution reaches Proof of Concept Stage (if applicable). If your proposal is selected to proceed to Proof of Concept Stage and/or further, you will be required to enter into further legal agreement(s) with Innov8, its related companies and/or its agents or partners, replacing these Terms.
4. Confidentiality and Information Submitted
4.1 You are advised to share non-confidential information only in the application process. All information submitted in the application will be treated as non-confidential and non-proprietary. We assume no obligation to protect such information from disclosure and will be free to use, reproduce and distribute the information in accordance with clause 5 of these Terms.
4.2 As part of your participation in the Programme, you hereby grant Innov8 the right (though you acknowledge and agree that Innov8 shall not be obliged) to use your name and image in connection with the submitted materials and other information as well as in connection with all advertising, publicity, marketing and promotional material related thereto without further compensation to you. You agree that you shall have no recourse against Innov8 for any alleged or actual infringement or misappropriation of any proprietary right in your communications to us.
4.3 As part of your participation in the Programme, Innov8 reserves the right to disclose the selected teams’ names and identities, and use the selected teams’ pictures for publicity purposes. In addition, your participation is considered your agreement that Innov8 may contact you for marketing purposes. If you wish to opt out from receiving such marketing communications, you can contact us at http://innov8.singtel.com/contact.html. Please note that after opting out, you may still continue to receive non-marketing messages as permitted under applicable local laws and regulations.
4.4 Prior to entering into confidential discussions, including if you are invited to proceed to Proof of Concept Stage and/or further, you will be asked to sign a separate mutual non-disclosure agreement with Innov8.
5. Intellectual Property
5.1 You warrant that you own or have the rights to license any intellectual property rights in any information you share with Innov8 in your application and any information supplied during the course of the Programme, that no rights have been granted to any third party in respect of any such information which would prevent the information being used for the purposes contemplated by this Site and the Terms, and that the use by Innov8 of such information will not breach any laws or infringe the rights of any person (including without limitation with respect to privacy, intellectual property and defamation). You must obtain prior consent from any person or from the owner(s) of any property that you submit as part of the Programme.
5.2 All rights or title to, or interest in all intellectual property rights created by you:
(a) prior to or independent of your participation in the Programme; and
(b) as part of your application to the Programme, and during your participation in all stages of the Programme up until but not including such time as the Solution reaches Proof of Concept Stage (if applicable),
shall remain your sole property, unless otherwise agreed in writing between you and Innov8. In the event that you are invited to develop a Solution to a Proof of Concept Stage and/or further, as a condition of progressing to those stages, you will be required to enter into a new agreement(s) with Innov8, its related companies, and/or its agents or partners, replacing these Terms, and addressing matters including intellectual property rights.
5.3 You license and grant Innov8, its affiliates and sub-licensees, an exclusive, perpetual, royalty-free, worldwide, irrevocable, right to use, reproduce, modify, adapt, publish and display any intellectual property provided by you in all stages of the Programme up until but not including such time as the Solution reaches Proof of Concept Stage (if applicable), for the sole purposes of facilitating and providing the Programme and for future promotional, marketing or publicity purposes, in any media, without any further restriction or compensation.
5.4 If you submit an idea or suggestion as part of your application, or during the pitch process, you acknowledge that Innov8 and/or its partner or a third party acting on Innov8’s behalf may have previously worked on or may be working on the same or a similar idea or utilise the same or a similar idea in the course of its work. You agree that we may continue to develop the idea (or a similar idea) independently of, and without acknowledging, your idea. Innov8 will retain ownership of all intellectual property rights it created prior to or independently of you and the Programme.
6. Privacy, Security and Cookies
6.2 We may share your information with:
- Related companies of Innov8 and companies in the Singtel group that we work with on the Programme, who may be located in jurisdictions including Singapore, Australia, Israel and the United States;
- Business partners and vendors we work with to deliver services related to the Programme
- Industry regulators and other government organisations, as required by local laws and regulations
- Research institutions for market analysis purposes
Your information is disclosed to the above only for relevant purposes, including but not limited to Programme status updates and sharing of industry market trends and insights.
In some cases, we encrypt, anonymise and aggregate the information before sharing it. Anonymising means stripping the information of personally identifiable features. Aggregating means presenting the information in groups or segments e.g. business industries. We will also ensure that overseas organisations we work with observe strict confidentiality and data protection obligations.
6.3 Innov8 takes certain industry-accepted precautions to secure the Site or portions of it, including safeguards to prevent security breaches in our network and database systems, limits on access to information in our systems and the systems of our business partners and vendors, and strict verification processes to prevent unauthorised access to information. However, you agree that such precautions do not guarantee that use of the Site is invulnerable to all security breaches, nor does Innov8 make any warranty, guarantee, or representation that use of the Site is protected from all viruses, worms, Trojan horses, and other vulnerabilities.
6.4 During your use of the Site and submission of any application to the Programme, we may issue to and request from your computer blocks of data known as “cookies” to enable more convenient browsing when you revisit the Site. A cookie is a type of data which is sent from the Site to your Internet browser software, and is stored on your computer. Storing cookies does not have any adverse effect on your computer. You must not alter any cookies sent to your computer from the Site and you must ensure that your computer sends correct and accurate cookies in response to any relevant request from the Site.
7. Links To and From Other Websites
8.1 You shall fully indemnify and hold harmless Innov8, its related companies, its directors, officers, employees, suppliers, licensors, agents, and any third party providers at all times against all actions, claims, proceedings, costs (including legal costs incurred by Innov8 in defending any such actions, claims or proceedings), liability, losses and damages whatsoever which may be brought or commenced against Innov8 by any person and/or which Innov8 may sustain, incur or suffer, as the case may be, arising out of or in connection with or by reason of your use of the Site, your access or connection to the Site, your violation of these Terms, your violation of any rights of another or your participation in the Programme. Innov8 reserves the right to assume the defence and control of any matter subject to indemnification by you, in which event you will cooperate with Innov8 in asserting any available defences.
9. Disclaimer of Warranties
9.1 The Site and any software made available on the Site are provided on an “as is, as available” basis. Innov8 makes no warranty that: (a) the Site or any aspect of the Programme will meet your requirements or will always be accessible; (b) the Site or any aspect of the Programme will be uninterrupted, timely, secure, error-free or free from computer virus or other invasive or damaging code; (c) the results or any information that may be obtained from the use of the Site or participation in the Programme will be accurate or reliable; (d) the quality of any services, information, or other material obtained by you from Innov8 will meet your expectations; and (e) any errors made by Innov8, including in relation to the Site or Programme, will be corrected.
9.2 Any content downloaded, uploaded or otherwise obtained through the use of the Site, and your participation in the Programme, is done at your own discretion and risk. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, and other information provided by Innov8 or available on the Internet generally.
10. Limitation of Liability
10.1 Innov8 (including for the avoidance of doubt, Singtel, Optus and its related companies) does not assume any legal liability or responsibility for: (i) the accuracy, completeness, or usefulness of any information, apparatus, product or process disclosed on the Site or other contents accessible from the Site; (ii) technical issues, system or software failures experienced by applicants in submitting their submissions or accessing the Site; (iii) user errors, or negligent use of the Site; or (iv) late, lost, delayed, damaged, misdirected, incomplete or unintelligible submissions. In no event shall Innov8 be liable for any incidental, consequential, direct, indirect or any losses or damages whatsoever (including, but not limited to, loss or corruption of data, loss of profits, goodwill, bargain or opportunity or loss of anticipated savings, or business interruption, or any other loss, whether in an action of contract, negligence or other tortious action), arising out of or in connection with the use of or inability to use the Site or the Programme, the ability or inability to submit an application to the Programme, delays, inaccuracies or errors in any information provided by Innov8 or in the transmission of the Site, or any information or transactions provided on or over the Site or downloaded or hyperlinked from the Site, performance of the contents on this Site, or otherwise related to or arising out of the Programme, even if Innov8 has been advised of the possibility of such damages.
11.1 Your access to or use of the Site and participation in the Programme, as well as these Terms shall be governed by, and construed in accordance with the laws of England and Wales and you agree to submit to the non-exclusive jurisdiction of the Singapore courts.
11.2 If any part of these Terms is held to be unlawful, void, or for any reason unenforceable, then the such part of the Terms shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
11.3 Innov8’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right.
11.4 These Terms are for the benefit of Innov8 and its directors, officers, employees, suppliers, licensors, agents, and any third party content providers to the Site or relevant to the Programme. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
